Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Reverie Project, Inc., doing business as Almanac ("Almanac," "we," "us," or "our"). They govern your access to and use of usealmanac.com, Almanac's hosted product, Quill, APIs, command-line tools, Wikis, connected accounts, managed browser, and related services (the "Service").

By creating an account, accepting an invitation, connecting an account, purchasing a plan, or using the Service, you agree to these Terms. If you use the Service for an employer or other entity, you represent that you can bind that entity, and "you" includes the entity. You must be at least 18 years old and legally able to enter a contract.

If you have a separate signed agreement with Almanac, that agreement controls to the extent it conflicts with these Terms.

Almanac connects company information, maintains a source-backed Wiki, and provides AI assistants that can answer questions and take actions through connected accounts, channels, APIs, MCP servers, other integrations, command-line tools, and a managed browser.

We may improve, add, remove, or change features over time. We will not materially reduce paid functionality during a current subscription term without reasonable notice, except when a change is needed for security, law, provider requirements, or to prevent harm.

You must provide accurate information, keep credentials secure, and promptly tell us about unauthorized access. You are responsible for activity performed through your account unless caused by Almanac's breach of these Terms.

An Organization's owners and admins can manage members, roles, Organization-owned Accounts, Channels, billing, and Organization content. If you join an Organization, you authorize its admins to administer your membership and information associated with that Organization. User-owned connected Accounts remain personal unless the user grants the Organization access.

You are responsible for choosing appropriate permissions and for the conduct of people you invite. Do not share accounts or bypass access controls.

"Customer Content" means information you or your Organization submit, upload, connect, generate, or make available through the Service, including files, messages, prompts, Wiki pages, Sources, citations, provider data, browser activity, tool inputs, and outputs.

As between you and Almanac, you retain ownership of Customer Content. You grant Almanac a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, transform, and create technical or organizational derivatives of Customer Content only as needed to provide, secure, support, and improve user-facing Service features for you, comply with law, and follow your instructions. This license does not permit training generalized AI models on Customer Content. It lasts only as long as needed for those purposes and our stated retention practices.

You represent that you have the rights and permissions needed for Customer Content and for any instructions you give Almanac. Do not submit regulated or highly sensitive data unless your agreement with Almanac expressly permits it and you have configured the Service appropriately. The Service is not designed to store payment card numbers, government identification numbers, protected health information, or consumer financial account credentials as Wiki content.

"Connected Service" means any third-party or customer-provided account, application, API, MCP server, database, website, device, or other service that you authorize Almanac to access or operate. You instruct us to access and use Connected Services only within the permissions you grant and the actions you request.

Your use of a connected service remains subject to that provider's terms and policies. You are responsible for maintaining lawful access and complying with provider rules. Providers may change or discontinue APIs, permissions, or features. Almanac is not responsible for a third-party service, but we will use reasonable care in operating our integration.

If you provide, select, or configure a custom integration, including an MCP server, you are responsible for having authority to connect it and for its legality, security, configuration, permissions, and data. Almanac does not control and cannot guarantee the availability, accuracy, safety, or behavior of a customer-provided integration.

Disconnecting an Account ends future access and provider actions. Previously accepted Sources and Wiki knowledge do not automatically disappear because they have become part of your Organization's source-backed knowledge. You or an authorized Organization admin may request their deletion.

Almanac uses probabilistic AI systems. Responses, classifications, citations, Wiki changes, and tool choices may be incomplete, inaccurate, or unsuitable. You are responsible for reviewing output before relying on it for important decisions.

Depending on the permissions granted, Quill can read, create, modify, transmit, publish, delete, or otherwise act on information in Connected Services when enabled and requested. These actions may be visible to other people or difficult to reverse. You are responsible for instructions issued through your account, for reviewing proposed high-impact actions where a review is available, and for maintaining appropriate permissions and human oversight.

The Service is not legal, medical, financial, tax, employment, or other professional advice. Do not use AI output as the sole basis for decisions that determine a person's legal rights, access to essential services, employment, credit, housing, insurance, or medical care.

You may not use the Service to:

• break the law or infringe another person's rights;
• access data, accounts, systems, or websites without authorization;
• distribute malware, evade security controls, probe vulnerabilities without permission, or disrupt the Service or another system;
• generate spam, phishing, fraud, deception, impersonation, or abusive communications;
• facilitate violence, exploitation, illegal surveillance, or discrimination;
• scrape, resell, sublicense, or make the Service available as a competing service except through an authorized integration;
• reverse engineer the Service except where law expressly permits it; or
• exceed rate limits, misuse shared resources, or use automated means in a way that creates unreasonable load or risk.

We may investigate suspected violations and restrict activity that reasonably threatens users, third parties, providers, or the Service.

Our Privacy Policyexplains how we handle personal information and is incorporated into these Terms. Each party will comply with applicable data protection law. If Almanac processes personal information on your Organization's behalf, a data processing addendum may apply where required.

We maintain safeguards designed to protect Customer Content, but no service is perfectly secure. You are responsible for account security, member access, connected account permissions, backups you require, and deciding what information an AI assistant may access.

Paid plans, included capacity, billing period, and price are shown at checkout or in an order form. You authorize Almanac and its payment providers to charge the payment method on file for recurring fees, usage charges, and applicable taxes. Fees are stated in U.S. dollars unless we say otherwise.

If we offer a trial that requires a payment method, the checkout will state its length and the charge that begins afterward. Unless you cancel before the trial ends, the paid subscription starts automatically. You can manage or cancel a subscription through the billing portal or by contacting us. Cancellation takes effect at the end of the current paid period unless the checkout says otherwise.

Except where required by law or expressly stated at purchase, fees are non-refundable and subscription periods are not prorated. We may change prices for a future renewal period with reasonable advance notice.

We may label features as beta, preview, experimental, or early access. They may be less reliable, change without notice, or be discontinued. Use them with appropriate caution and do not rely on them for critical operations unless we agree otherwise in writing.

We may update the Service to improve it, respond to provider changes, maintain security, or comply with law. We may set reasonable technical limits and usage policies.

Almanac and its licensors own the Service, software, designs, documentation, trademarks, and other materials we provide, excluding Customer Content and third-party materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your account or subscription term.

If you give us feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or obligation. We will not identify you publicly as the source without permission.

Each party may receive non-public information that is marked confidential or should reasonably be understood as confidential. Each party will use the other's confidential information only to perform under these Terms and protect it with reasonable care.

Confidential information does not include information that is public through no breach, already lawfully known, independently developed, or lawfully received without restriction. A party may disclose confidential information when legally required after providing notice where permitted.

You may stop using the Service at any time. Organization owners may cancel subscriptions and request Organization deletion. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful conduct, provider requirements, or to prevent harm. When practical, we will give notice and an opportunity to cure.

After termination, your right to use the Service ends. Upon verified request, we will delete or return Customer Content as required by our agreement and applicable law, subject to reasonable export capability, legal retention, security records, and backup cycles. Sections that by their nature should survive—including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms—will survive.

We warrant that we will provide paid Service with commercially reasonable care. Your exclusive remedy for breach of this warranty is for us to reperform the affected Service or, if we cannot, refund prepaid fees for the affected unused period.

Except for that express warranty and to the fullest extent permitted by law, the Service is provided "as is" and "as available." Almanac disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service, AI output, connected services, or third-party websites will be uninterrupted, error-free, or meet every requirement.

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised that they are possible.

Except for payment obligations, infringement or misuse of the other party's intellectual property, violation of acceptable use, indemnification obligations, fraud, willful misconduct, or liability that cannot legally be limited, each party's total liability arising out of the Service or these Terms will not exceed the amount you paid Almanac for the Service during the twelve months before the event giving rise to the claim. If you used only a free Service, the cap is $100.

You will defend and indemnify Almanac and its personnel from third-party claims, damages, and reasonable costs arising from Customer Content, your unlawful or unauthorized use of the Service, or your material breach of these Terms. We will promptly notify you, allow you to control the defense, and reasonably cooperate. You may not settle a claim in a way that admits fault by Almanac or imposes obligations on us without our consent.

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. The state and federal courts in San Francisco County, California have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to those courts.

Before filing a claim, the parties will try in good faith for 30 days to resolve it informally after written notice. Nothing here prevents a party from seeking urgent injunctive relief or using a small claims court with jurisdiction.

Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. We are not liable for delay caused by events beyond our reasonable control.

These Terms, the Privacy Policy, any order form, and any signed agreement are the entire agreement about the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A waiver must be in writing. These Terms do not create a partnership, agency, employment, or fiduciary relationship. Headings are for convenience only.

We may update these Terms. We will post the new effective date and provide reasonable notice of material changes. Changes apply prospectively. Continuing to use the Service after they take effect means you accept them; if you do not agree, you must stop using the Service.
